Acceptance of Terms

These Terms & Conditions ("Terms") govern your use of the Darko website (the "Site"), including all content, products, and services available on or through the Site (collectively, the "Services"). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Site or Services.

Darko reserves the right to modify these Terms at any time, with or without notice. Your continued use of the Site or Services after any modifications constitutes your acceptance of the updated Terms.

Eligibility

You must be at least 18 years of age to use the Site, purchase our products, or create an account. By using the Site or Services, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into these Terms.

Account Creation & Use

Darko is not liable for any loss or damage arising from your failure to comply with the above obligations.

Order Placement & Fulfillment

When you place an order on the Site, you submit an offer to purchase our products ("Products") in accordance with these Terms. Darko reserves the right to accept or reject your order for any reason, including but not limited to: product unavailability, errors in product pricing or description, or suspicion of fraudulent activity.

We will confirm your order acceptance via email (the "Order Confirmation"). Your contract with Darko is formed when we send the Order Confirmation, and we will use reasonable efforts to fulfill your order in accordance with the shipping information provided in the Order Confirmation.

You agree to provide accurate, current, and complete shipping and billing information when placing an order. Darko is not liable for any delays or failures in fulfillment due to inaccurate or incomplete information provided by you.

Payment

You agree to pay all fees and charges associated with your purchase of Products (including shipping and handling fees, taxes, and any other applicable charges) in accordance with the pricing and payment terms displayed on the Site at the time of your order.

We accept major credit cards (Visa, Mastercard, American Express, Discover) and other payment methods as displayed on the Site. All payments are processed through third-party payment processors, and Darko does not store your full payment details on our servers.

You represent and warrant that you have the legal right to use the payment method you provide for your order. Darko reserves the right to cancel your order if we suspect fraudulent payment activity.

Darko reserves the right to terminate your account and your access to the Site or Services if you violate any of the above prohibited uses.

THE SITE, SERVICES, AND PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. DARKO EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Darko does not warrant that the Site or Services will be uninterrupted, error-free, or free of viruses or other harmful components, or that any defects will be corrected. Darko does not warrant the accuracy, completeness, or reliability of any content on the Site or Services.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DARKO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, SERVICES, OR PRODUCTS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DARKO’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR IN CONNECTION WITH THE SITE, SERVICES, OR PRODUCTS SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO DARKO FOR THE PRODUCTS GIVING RISE TO THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Darko, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of the Site or Services, your violation of these Terms, or your infringement of any intellectual property or other right of Darko or any third party.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, USA, and you consent to the exclusive jurisdiction and venue of such courts.

Entire Agreement

These Terms, together with our Privacy Policy and any other policies or terms displayed on the Site, constitute the entire agreement between you and Darko with respect to your use of the Site, Services, and Products, and supersede all prior or contemporaneous agreements, understandings, and representations, written or oral.
